1. The Applicant, Sabafergs Limited, moved this Court by way of a Notice of Motion dated 29th August 2025 brought under Section 863 of the Companies Act, 2015, Sections 1A and 1B of the Civil Procedure Act, and Order 51 Rule 1 of the Civil Procedure Rules seeking rectification of its shareholding records at the Companies Registry.
2. The application is supported by the affidavit of Jason Ferguson, a director of the Applicant, and annexed exhibits. It is not opposed.
3. I have considered the application, the supporting affidavit, and the documents annexed thereto. The evidence discloses that the issue of 4,575 ordinary shares to the Class A shareholders was made in error and that all shareholders have unanimously consented to the rectification of the register.
4. Under Section 863(1) of the Companies Act, 2015, this Court has power to order rectification of a company’s register where entries have been made without sufficient cause or in error. The circumstances before me justify the exercise of that jurisdiction.
5. I am satisfied that no prejudice will be occasioned to any party by the orders sought and that the rectification accurately reflects the intention of all shareholders.
DISPOSITION
6. The application dated 29th August 2025 is allowed as prayed. The Registrar of Companies shall rectify the register of Sabafergs Limited by cancelling the ordinary shares issued by the resolutions of 10th March 2023 and 2nd August 2023 and updating the register to reflect the shareholding as follows:
