Counsel submitted that it would be unfair and unjust not to complete the process by allocating the Plaintiff’s the parcels of land which are in dispute before the court.

Counsel submitted that the failure if any to have the sale agreements executed by all three officers of the society is a mere technicality and cannot be used to prevent this court from administering substantive justice. Counsel submitted that the 2nd-14th Defendants obtained the suit parcels of land unlawfully and illegally. Counsel submitted that the Plaintiff has proved the case on a balance of probabilities and is entitled to the reliefs sought in the amended Plaint. Reliance was placed on Articles 10 (1), 40, and 159 of the Constitution of Kenya, Section 26 of the Land Registration Act and the following cases: Violet Wanjiru Kihika vs Anthony Kanyiri Nakuru ELCA 005 of 2023, Ruth Ndume Mwangangi vs Joseph Mbithi Nthenge & another [2022] eKLR, Virginia Ciamati Murage & another vs Stanley Advane Kirimi [2021] eKLR and Willy Kimutai Kitilit vs Michael Kibet [2018] eKLR.

1st Defendant’s Submissions
Counsel for the 1st Defendant filed submissions dated 26th January, 2026. Counsel submitted that the Plaintiffs wrongly sued the 1st Defendant for there is no nexus between the personal actions done by the former chairlady and the Plaintiffs. Counsel submitted that there has been overwhelming evidence to show that the Plaintiffs did not transact with the 1st Defendant but dealt directly with Ruth Wanjiru Muraya Shadrack (deceased). Counsel prayed that the suit against the 1st Defendant be dismissed with costs. Counsel relied on the following cases: Bugerere Coffee Growers Ltd vs Sebaduka & another (1970) EA 147, Kunyobo vs Olubwa & another (Environment & Land Case 216 of 2014) [2023], Kuria Kiarie & 2 others vs Sammy Magera [2018] eKLR, Bahati Murwa vs Faulu Kenya Ltd (2021) and Cherutich vs Mburu & 4 others (2022).

Counsel submitted that the 2nd-14th Defendants are innocent purchasers for value of the suit parcels of land and the Plaintiffs have not discharged the burden of proof required in law to sustain the allegations of fraud, illegality or collusion against them. Counsel urged the court to dismiss the Plaintiff’s suit with costs to the 2nd-14th Defendants. Counsel relied on Article 159 of the Constitution of Kenya, Section 26 (1) of the Land Registration Act, Section 107 of the Evidence Act and the following cases: Tarabana Company Limited vs Sehmi & 7 others [2021] KECA 76 (KLR), Elizabeth Wambui Githinji & 29 others vs Kenya Urban Roads Authority & 4 others [2019] KECA 706 (KLR) and Kunyobo vs Olubwa & another (Environment & Land Case No 216 of 2014) [2023].

Analysis And Determination
The issues for determination are:
a.    Whether the 1st Defendant sold the suit parcels to the Plaintiff?
b.    Whether the Plaintiff is entitled to the orders sought in the further amended Plaint dated 11th October, 2023.

It is the Plaintiffs case that on or about February 2012, they entered into an agreement with the 1st Defendant through their then chair lady Ruth Wanjiru Muraya (now deceased) for the purchase of 100 acres of L.R No 11106 in Gilgil. They aver that they bought 90 acres from the 1st Defendants, made all relevant payments and the Plaintiffs and their members took possession of their various parcels of land. It is the Plaintiffs case that in May 2012, the 1st Defendant directed the Plaintiff to pay Ksh 500,000/= which the Plaintiff proceeded to pay to Paul Chege Gitahi on account of the purchase price between the Defendant and Paul Chege Gitahi for the suit land.

The Plaintiffs averred that sometime in December 2013, the 1st Defendant herein through a letter alleged that the Plaintiff had a balance of Ksh 2,638,500/= for the parcel of land but the then Chairlady of the 1st Defendant company in a letter dated January 2014 advised the Plaintiff not to make further payments.

The Plaintiffs averred that it has paid to the 1st Defendant a sum of Ksh 4,256,000/= between February 2012 and September 2013 for the purchase of the said parcels of land and receipts issued to that effect. It is the Plaintiff’s case that despite making all the payments, the 1st Defendant has refused to surrender the title deeds to the Plaintiff and its members.  The Plaintiff averred that the 1st Defendant has threatened and started advertising the suit properties for sale to third parties. The Plaintiffs averred that they have discovered the 1st Defendant has since sold and transferred various portions of the subdivisions to the 2nd-14th Defendants.  The Plaintiff lists the particulars of fraud and misrepresentation as against the 1st Defendant and the particulars of negligence and fraud a s against the 2nd-14th Defendants.
The Plaintiff averred that the 1st Defendant is acting contrary to their agreement and is attempting to interfere with the Plaintiffs rights to property without any justification and or consideration to the Plaintiffs.

It is the 1st Defendant’s case that if the Plaintiffs purchased the suit properties from Ruth Wanjiru Shadrack, the same was done without the authority of the 1st Defendant as no resolution was made by neither the 1st Defendant’s Board of Directors nor its members and thus the said sale was null and void. It is the 1st Defendant’ case that the sale agreement if any between the Plaintiff and Ruth Wanjiru Shadrack (now deceased) was void for want of consent from the Land Control Board as per the Land Control Act Cap 302 Laws of Kenya which is necessary before any transfer hence the agreement was not binding.

In the case of Anne Wambui Nderitu vs Joseph Kiprono Rapkoi & Another [2005] IEA 334, the Court of Appeal held as follows:
“As a general proposition under Section 107(1) of the Evidence Act, Cap 80, the legal burden of proof lies upon the party who invokes the aid of the law and substantially asserts the affirmative of the issue.  There is however the evidential burden that is case upon any party the burden of proving any particular fact which he desires the court to believe in its existence which is captured in Sections 109 and 112 of the Act”.

The Plaintiff has adduced a copy of the sale agreement dated 13th February, 2012 and a copy of the sale agreement dated 17th April, 2012. The sale agreement dated 13th February, 2012 states that it is made between the officials of Mukenia Farmers Co-operative Society. The same is signed on behalf of Mukenia Co-operative society by Ruth Wanjiru Muraya.

The agreement dated 17th April, 2012 states as follows: “This agreement is between Wazee Pamoja Self Help Group and Ruth Wanjiru Muraya. I Ruth Wanjiru Muraya have agreed to sell to Wazee Pamoja Self Help Group a piece of land rating one hundred acres (100 acres) at a price of Fifty Thousand Kenya Shillings (Kshs 50,000) per acre.”

In the case of Daniel Kiprugut Maiywa v Rebecca Chepkurgat Maina [2019] KEELC 842 (KLR) the Court held that:

“The nemo dat principle means one cannot give what one does not have. This principle is intended to protect the title of the true owner. The rationale behind this principle is that whoever owns the legal title to property holds the title thereto until he or she decides to transfer it to someone else.”

The Court of Appeal in Mwangi James Njehia vs Janetta Wanjiku Mwangi & Another [2021]KECA 768 observed that the formulation in Katende vs Haridar & Company Ltd (2008) 2 EA 173 particularly the requirement that the vendor need only have an “apparent” valid title, was no longer sound. The Court held that the notion of “apparent” title should be omitted altogether. Accordingly, only a purchaser who acquires title from a person with a valid and lawful interest can invoke the doctrine of bona fide purchaser.

It is clear that the sale agreement dated 17th April, 2012 was made between Wazee Pamoja Self Help Group and Ruth Wanjiru Muraya. The 1st Defendant was not involved.  In respect of the agreement dated 13th February, 2012, it states that Ruth Wanjiru Muraya is signing the agreement on behalf of Mukenia Co-operative Society.  The same agreement states as follows: ‘At the time of signing this agreement, title deed is being held by the owner of the land pending transfer to the society after outstanding debt paid to the owner,”

According to the nemo dat principle, one cannot give what one does not have. The Plaintiffs transacted with Ruth Wanjiru Muraya in Salomon v A Salomon & Co Ltd [1896] is a landmark House of Lords case that established separate legal personality and limited liability. It confirmed that a legally incorporated company is a distinct entity separate from its shareholders, meaning personal assets cannot typically be seized to pay corporate debts.
March, 2012 showing that Ruth Wanjiru Muraya was the beneficiary of Ksh 500,000/=. The Plaintiffs have also adduced a sale agreement dated 2nd August 2012 showing that Ruth Wajiru Muraya received Ksh 400,000/= from Wazee Pamoja Self Help Group officials.
In Kolaba Enterprises Ltd Vs Shamsudin Hussein Varvani & ANO (2014) eKLR the court held that: -
“it should be appreciated that the separate corporate personality is the best legal innovation ever in company law. See the famous case of Salomon & Co. Ltd v Salomon [1897] AC 22 H.L that a company is different person altogether from its subscribers and directors. Although it is a fiction of the law, it still is as important for all purposes and intents in nay proceedings where a company is involved. Needless to say, that separate legal personality of a company can never be departed from except in instances where the statute or the law provides for the lifting or piercing of the corporate veil, say when the directors or members of the company are using the company as a vehicle to commit fraud or other criminal activities.”
In Riccatti Business College of East Africa Limited V Kyanzavi Farmers Company Limited [ 2016] eKLR cited with authority the case of Victor Mabachi & Anor & Nurtun Bates Limited [2013] eKLR where Court while dealing with the issue of the distinct legal entity of corporate bodies held that:-“[ A company] as a body corporate, is persona juristic, with a separate independent identity in law, distinct from its shareholders, directors and agents unless there are factors warranting a lifting of the veil.” This court finds that the 1st Defendant Company did not sell the suit properties to the Plaintiff. The Court finds that the Plaintiffs suit lacks merit and is hereby dismissed with costs.
